These Terms of Use (“Terms”) govern access to and use of the websites, digital properties, directories, memberships, events, courses, and related services operated by Doctors On Social Media, LLC, a New Jersey limited liability company (“SoMeDocs,” “we,” “us,” or “our”) (collectively, the “Services”).


By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.Your use of the Services is also governed by our Privacy Policy, Cookie Policy, DMCA Policy, and Directory & Content Disclaimer, each of which is incorporated by reference.

 

1. Eligibility

The Services are intended for individuals 18 years of age or older who are legally capable of entering into binding agreements. By using the Services, you represent and warrant that you meet these requirements and that your use complies with all applicable laws.

 

2. Accounts and Registration

Users may be required to create an account to access certain features, including directories, memberships, courses, conferences, and digital products.

By creating an account, you agree to:

  • provide accurate, complete, and current information;

  • keep your login credentials secure;

  • maintain the accuracy of your account information;

  • notify SoMeDocs immediately of any unauthorized access or security breach.

You are solely responsible for all activity conducted under your account.

 

3. No Medical, Legal, Psychological, Financial, or Professional Advice

The Services do not provide medical, legal, psychological, financial, coaching, or professional advice of any kind.
All information and content, including listings, articles, videos, interviews, commentary, and communications, is for general informational and educational purposes only.

Use of the Services does not create:

  • a physician–patient relationship;

  • a legal advisor–client relationship;

  • a mental health provider–client relationship;

  • a financial advisor–client relationship;

  • a coaching or consulting relationship.

Users must consult their own qualified professionals regarding any decisions related to health, law, finance, or other matters.
In emergencies, Users must contact emergency services immediately.

 

4. Professional Directory

The inclusion of any Professional on the Services:

  • does not constitute an endorsement, verification, recommendation, or referral by SoMeDocs;

  • does not imply affiliation, partnership, employment, or agency;

  • does not indicate that SoMeDocs has assessed or approved the Professional’s expertise, competence, suitability, or advice.

Licensure checks, when performed, are conducted solely for identity confirmation purposes.

All interactions, engagements, or communications between Users and Professionals occur independently of SoMeDocs.
SoMeDocs is not responsible for any services, outcomes, advice, omissions, or actions by Professionals.

Users remain solely responsible for evaluating any Professional and conducting their own due diligence.

 

5. User-Generated Content (UGC)

Users may submit or upload Content, including:

  • profile information and photos

  • articles, interviews, commentary

  • directory listings

  • event participation materials

  • testimonials or reviews

By submitting Content, you represent and warrant that:

  • you own or control the rights to the Content;

  • the Content does not infringe any third-party rights;

  • the Content is accurate and lawful;

  • you grant SoMeDocs a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, reproduce, publish, distribute, modify, display, and create derivative works from the Content in connection with the Services.

SoMeDocs may remove, edit, restrict, or refuse to display any Content at its sole discretion.

 

6. Intellectual Property Rights

All SoMeDocs trademarks, logos, platform design, branding, and original content are owned or licensed by SoMeDocs and protected by intellectual property laws.

Users may not:

  • copy, distribute, reproduce, or create derivative works from any portion of the Services;

  • use SoMeDocs trademarks or branding without written consent;

  • scrape, extract, or harvest data from the Services without written authorization.

 

7. Payments, Memberships, Courses, and Events

Purchases of memberships, event registrations, courses, digital products, and related offerings are subject to the pricing, payment, and refund policies displayed at the time of purchase.

Users agree:

  • not to share purchased materials, logins, or digital products;

  • to comply with usage guidelines for each product;

  • that SoMeDocs may modify, suspend, or discontinue offerings at any time.

All fees are non-refundable unless expressly stated otherwise.

 

8. Advertising, Sponsored Content & Affiliate Links

The Services may contain:

  • sponsored listings

  • paid directory placements

  • affiliate promotions

  • third-party advertising

  • externally hosted merchandise offerings

Such inclusion does not constitute endorsement by SoMeDocs.
Compensation received does not influence editorial decision-making.

 

9. Testimonials and Reviews

Testimonials and reviews posted to the Services must be truthful and may be subject to moderation.
Users acknowledge that testimonials represent individual experiences, not guarantees of outcomes.

 

10. External Links

The Services may include links to third-party websites or resources.
SoMeDocs is not responsible for the availability, content, policies, or practices of external sites.
Access to such sites is at the User’s risk.

11. AI-Generated Content Disclaimer

Content created or enhanced using artificial intelligence tools—including text, summaries, or images—may appear on the Services.
AI-generated content is provided for informational purposes only and may contain inaccuracies.
Users should independently verify information before relying upon it.

 

12. No Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
SOMEDOCS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY

  • AVAILABILITY

  • SECURITY

  • RELIABILITY

SoMeDocs does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMEDOCS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR USE, ARISING FROM OR RELATED TO:

  • use of the Services;

  • reliance on any Content;

  • interactions with Professionals;

  • errors, omissions, delays, or interruptions;

  • unauthorized access to or alteration of data.

IN NO EVENT SHALL SOMEDOCS’ TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY THE USER IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

 

14. Indemnification

Users agree to indemnify, defend, and hold harmless SoMeDocs and its officers, directors, employees, contractors, affiliates, and agents from all claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of:

  • User’s use of the Services;

  • submitted Content;

  • interactions with Professionals or other Users;

  • violations of these Terms;

  • infringement of third-party rights.

 

15. DMCA Safe Harbor

If you believe your copyrighted work has been used on the Services in a manner that constitutes infringement, you may submit a notice pursuant to the Digital Millennium Copyright Act (DMCA).
SoMeDocs will respond to valid notices and may remove the disputed material.

A designated agent email and instructions will be added upon your confirmation.

 

16. Modifications to Terms

SoMeDocs may amend these Terms at any time.
Revised Terms will be posted with an updated “Last Updated” date.
Continued use of the Services constitutes acceptance of the revised Terms.

 

17. Termination

SoMeDocs may suspend or terminate a User’s access at any time, with or without cause or notice.
Upon termination, all rights granted under these Terms immediately cease.

 

18. Binding Arbitration and Class Action Waiver

EXCEPT AS PROHIBITED BY LAW, ALL DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION, RATHER THAN IN COURT.

Users agree:

  • to waive the right to a trial by jury;

  • to waive participation in class actions or class arbitrations;

  • that claims must be brought on an individual basis.

Arbitration shall occur in [Insert NJ county], under the rules of the American Arbitration Association (AAA).
Users may opt out within 30 days of first becoming subject to this arbitration clause by providing written notice to SoMeDocs.

 

19. Governing Law; Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

Any judicial action permitted outside arbitration shall be brought exclusively in the state or federal courts located in New Jersey.
